This Non-Disclosure Agreement (“Agreement”) is made and entered into by and between:
1. PURPOSE:
The Disclosing Party intends to disclose certain confidential information to the Receiving Party for the purpose of discussing potential investment, strategic cooperation, or partnership related to AI-ready optical fiber infrastructure.
2. DEFINITION OF CONFIDENTIAL INFORMATION:
“Confidential Information” means all non-public, proprietary, or confidential information disclosed by the Disclosing Party to the Receiving Party in written, verbal, or visual form.
3. OBLIGATIONS OF RECEIVING PARTY:
The Receiving Party agrees to:
a. Maintain the confidentiality of the information using the same care as it uses to protect its own.
b. Not disclose the information to any third party without prior written consent.
c. Use the information only for the stated purpose.
4. EXCLUSIONS:
This Agreement does not cover information that:
d. Is or becomes public through no breach by the Receiving Party.
e. Is received from a third party without restriction.
f. Is independently developed without use of the Confidential Information.
5. TERM:
This Agreement shall be effective as of the Effective Date and shall remain in effect for a period of two (2) years.
6. RETURN OR DESTRUCTION:
Upon request, the Receiving Party will return or destroy all confidential material received.
7. NO LICENSE:
No license or ownership of the Confidential Information is granted under this Agreement.
8. GOVERNING LAW:
This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
